Terms of service
Short and plain. These terms apply to everyone who uses Optimum. The commercial side (fees, profit shares, the length of the engagement) is in a separate written agreement between Allied Clicks LLC and each client; where that agreement says something different, it wins.
The service and who provides it
Optimum is provided by Allied Clicks LLC, a company registered in the United States ("we", "us"). It is a service for businesses: it connects to a client's Shopify store and Meta ad accounts, shows the numbers, and carries out changes to advertising within limits the client sets. It is offered to business clients under a separate agreement, not to consumers, and there is no public sign-up.
Who may use the app
The app at app.optimum.ad is for people a client has authorised: its own staff and ours. Each person has an account of their own, created by us at the client's request. An account is personal: do not share your password or your authenticator with anyone, and tell us at once if you think someone else has used it. The client is responsible for telling us when a person should no longer have access.
Acceptable use
Use Optimum only for the client's own advertising and stores. Do not:
- connect a store or an ad account you are not authorised to connect;
- try to reach another client's data, or to get round the caps, the kill switch or the audit log;
- probe, overload or interfere with the service, or try to get around its sign-in;
- use the service for advertising that breaks the law or Meta's or Shopify's rules.
What the client is responsible for
- The caps and the switch. The client sets how far a budget may move at once and in a day, the ceiling no budget passes, and whether a rule runs in rehearsal or live. Optimum holds to those settings; choosing them is the client's job.
- Approvals. Where a change needs a person's approval (a rule going live, a budget change, a pause), the person who gives it does so for the client.
- Its own advertising. The ads, the claims in them, the landing pages and the offers are the client's. The client is responsible for their lawfulness and for keeping to Meta's and Shopify's terms.
- Its customers' data. The client is the controller of its customers' data and is responsible for the notices and consents its customers are owed, including any consent its storefront must ask before recording a visitor's click identifiers. Optimum processes that data only on the client's instructions, as the privacy policy describes.
- Access it grants. The client grants Optimum access to its store and ad accounts and can withdraw it at any time by uninstalling the app or revoking the token.
What Optimum does on connected accounts
Optimum reads from the client's connected accounts to show the numbers. It changes something on them (a budget, the status of an ad set) only when a person authorised by the client asks for it, or when a rule the client's people switched on directs it, and in every case within the caps the client set and subject to the kill switch. Every change is written down before it is sent, with who or what asked for it. Optimum never changes anything in an account the client has not attached to it.
No guarantee of advertising results
Advertising results depend on the market, on Meta's systems and on the client's products and offers. We do not promise any level of sales, cost per order, return on ad spend or any other result. The numbers Optimum shows come from Shopify and Meta and are as accurate as what those platforms report; Meta revises recent days, and Optimum re-reads them, so a number can change after you first see it.
Limitation of liability
In plain words:
- Money spent on advertising through the client's accounts, within the caps the client set, is the client's spend, not a loss we are responsible for.
- We are not liable for indirect losses: lost profit, lost sales, lost data that the client could have kept elsewhere, or the consequences of Shopify or Meta being unavailable or changing how they work.
- Where the law allows us to limit liability, our total liability to a client for everything arising out of the service in any 12 months is limited to the fees that client paid us for the service in those 12 months.
- Nothing here limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
The service is provided as it is. We do not promise that it will be free of faults or available at all times, though we work to make it both.
Ending the service
A client can stop at any time by uninstalling the app, revoking the Meta token, or telling us. We can suspend or end a client's access if these terms are broken, or if keeping the service running for that client would break the law or the terms of Shopify or Meta; we give notice unless the situation does not allow it. When the service ends, the client's data is deleted as the privacy policy says, and the client can ask for a copy of it before then.
Changes to these terms
When these terms change, the date at the top changes with it, and we tell each client before a change that matters to it takes effect. Using the service after that date means accepting the new terms; a client who does not accept them can stop as described above.
Governing law
These terms are governed by the laws of the United States and of the state in which Allied Clicks LLC is registered, and disputes under them are brought in the courts of that state, except where the separate agreement with a client says otherwise or the law of the client's own country gives it rights that cannot be taken away.
